HDFC Bank Issues Warning Letters to CEO, CFO and Senior Executive Over MSRDC Deposit Case
India's largest private sector lender, HDFC Bank, has taken disciplinary action against three of its top executives following the completion of an internal investigation into deposit arrangements with the Maharashtra State Road Development Corporation (MSRDC). The bank announced that it has issued warning letters and imposed a monetary penalty of ₹1 lakh each on Managing Director and CEO Sashidhar Jagdishan, Chief Financial Officer Srinivasan Vaidyanathan, and Group Head – Retail Assets Arvind Vohra.
According to the bank, the internal review concluded that the actions of the employees amounted to business overreach rather than fraud, corruption, or personal misconduct. The findings were reviewed by a Special Disciplinary Committee of Independent Directors, whose recommendations were accepted by the bank's board.
Internal Review Focused on MSRDC Deposit Arrangements
The investigation examined HDFC Bank's arrangements for mobilizing deposits from the Maharashtra State Road Development Corporation during 2017 and 2021.
Following concerns regarding the process, the bank initiated an internal review to determine whether any of its employees had acted outside the scope of acceptable business practices or violated regulatory expectations.
The review was conducted independently before being presented to the bank's board for final consideration.
Board Finds 'Business Overreach' but No Wrongful Intent
In its regulatory filing, HDFC Bank clarified that the Special Disciplinary Committee concluded the conduct of the employees represented business overreach and not any deliberate wrongdoing.
The board specifically stated that the investigation found no evidence of mala fide action, personal enrichment, corruption, or improper motive by the executives involved.
This distinction played an important role in determining the disciplinary action, with the board opting for internal penalties rather than stronger measures.
Warning Letters and Financial Penalty Issued
Based on the committee's recommendations, HDFC Bank decided to issue formal warning letters to the three senior executives and impose a monetary penalty of ₹1 lakh each.
Warning letters were also issued to other employees connected with the matter.
The bank said the decision was taken while considering possible divergence from applicable Reserve Bank of India (RBI) directions and reaffirmed its commitment to maintaining high standards of governance and compliance.
Share Price Reacts to the Development
The development comes after HDFC Bank's shares witnessed pressure following reports regarding the lender's internal vigilance investigation.
The stock had fallen more than 2% after reports surfaced about interest payments linked to the MSRDC deposit arrangement. During trading, HDFC Bank shares slipped to around ₹761.25 before recovering slightly.
Despite the recent decline, the bank's stock has continued to perform well over the longer term.
Over the past three months, HDFC Bank shares have gained around 3%, while year-to-date gains stand at approximately 11%. The stock has also delivered nearly 20% returns over the past two years and more than 40% gains over the last five years.
Corporate Governance Remains a Key Priority
The disciplinary action reflects HDFC Bank's emphasis on internal accountability and corporate governance.
By conducting an independent investigation and publicly disclosing the findings, the bank has sought to reinforce investor confidence and demonstrate that governance standards apply equally across all levels of management.
The board also emphasized that while procedural lapses were identified, there was no indication of criminal misconduct or personal financial benefit.
What This Means for Investors
Market analysts view the matter primarily as a governance-related issue rather than a financial or operational crisis.
Since the internal review did not identify fraud or personal enrichment, many experts believe the disciplinary action is unlikely to materially affect the bank's long-term business fundamentals.
However, investors will continue to watch future disclosures and regulatory developments related to governance practices in the banking sector.
Conclusion
HDFC Bank's decision to issue warning letters and impose financial penalties highlights the importance of strong corporate governance in India's banking industry.
While the internal review identified business overreach in the MSRDC deposit arrangements, the bank made it clear that there was no evidence of dishonest intent, fraud, or personal gain. The action demonstrates HDFC Bank's commitment to transparency, accountability, and maintaining the confidence of regulators, shareholders, and customers.
